Terms of Service

1. Acceptance of Terms

By accessing and using Black Box White's services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Provided

Black Box White provides web design and development services including but not limited to:

• Custom website design and development
• E-commerce platform development
• Web application development
• Website maintenance and support
• Web hosting services
• Website migration services
• Website audits and consultations

3. Project Scope and Quotes

All projects begin with a detailed scope of work and quote. By accepting a quote, you agree to:

• The project deliverables as outlined
• The agreed timeline and milestones
• The payment terms specified
• Provide necessary content, materials, and access in a timely manner

4. Payment Terms

4.1 Project Payments

Unless otherwise agreed:

• 50% deposit required before work commences
• 50% due upon project completion and before launch
• Payment methods: Bank transfer, credit card, or as specified in quote

4.2 Recurring Services

For hosting and maintenance services:

• Billed monthly in advance
• Payment due within 7 days of invoice
• Services may be suspended for non-payment after 14 days

5. Client Responsibilities

Clients are responsible for:

• Providing accurate project requirements
• Timely provision of content, images, and materials
• Access to necessary accounts and systems
• Timely feedback and approvals
• Ensuring all provided content complies with copyright and licensing laws

6. Intellectual Property

6.1 Client Content

You retain ownership of all content, images, and materials you provide.

6.2 Deliverables

Upon full payment, you receive:

• Full ownership of custom design work created specifically for your project
• License to use the developed website and code
• Source code and project files (upon request)

6.3 Reusable Components

We retain rights to reusable code components, frameworks, and methodologies that may be used across multiple projects.

7. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in the quote. Additional revisions or scope changes will be quoted separately.

8. Warranties and Disclaimers

We warrant that:

• Services will be performed with professional care and skill
• Deliverables will function as specified
• We have the right to provide the services

However, we do not warrant:

• Uninterrupted or error-free operation
• Specific business results or outcomes
• Compatibility with all future browser/software updates
• Protection against all security threats

9. Limitation of Liability

To the fullest extent permitted by law:

• Our liability is limited to the amount paid for the specific service
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for losses due to third-party services or systems

10. Project Delays

We strive to meet all deadlines. However, timelines may be affected by client delays in providing materials or feedback. We are not liable for delays caused by circumstances beyond our reasonable control.

11. Termination

Either party may terminate services with written notice. Upon termination:

• Client pays for all work completed to date
• We will provide completed work upon payment
• Deposits are non-refundable
• Recurring services can be cancelled with 30 days notice

12. Hosting and Third-Party Services

We may use third-party hosting and services. While we select reliable providers, we are not responsible for their actions or failures. Separate terms may apply to these services.

13. Confidentiality

We will keep confidential all proprietary information shared during the project, except as required by law or with your permission to showcase work in our portfolio.

14. Governing Law

These terms are governed by the laws of South Africa. Any disputes will be resolved in the courts of South Africa.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page. Continued use of our services constitutes acceptance of updated terms.
